Mission Statement
ARTICLE I. MEMBERS
SECTION ONE. CATEGORIES OF MEMBERS
There shall be four categories of members namely: Board of Directors (executive
officers), coaches, youth members and supporting members.
- Board of Directors. The Board of Directors shall consist of the President,
Vice-President, Secretary and Treasurer of this organization. Not more than one member of
any immediate family shall hold an executive office at the same time.
- Coaches. Coaches shall consist of all registered coaches and registered
assistant coaches of this organization.
- Youth Members. Youth members shall consist of all registered players
pursuant to the rules and regulations of this organization.
- Supporting Members. Supporting members shall consist of:
- All parents and/or legal guardians of youth members.
- Any other person, 18 years or older, who is interested in supporting the organization
and who is approved for membership by the Board of Directors.
SECTION TWO. DEFINITION OF VOTING MEMBERS
Voting members shall consist of the Board of Directors, registered coaches and any
supporting member who has attended four (4) of the last six (6) consecutive meetings.
SECTION THREE. VOTING RIGHTS
Each voting member is entitled to one vote on each matter submitted to the Board.
SECTION FOUR. TERMINATION OF MEMBERSHIP
The affirmative vote of three-fourths (3/4) of the members of the Board of Directors
may suspend or expel a member for cause after an appropriate meeting.
SECTION FIVE. REINSTATEMENT OF MEMBERSHIP
On written request signed by a terminated member and filed with the Secretary, the
Board of Directors, by affirmative vote of three fourths (3/4) of the members of this
Board, may reinstate a terminated member to membership on such terms as the Board of
Directors deem appropriate.
ARTICLE II. MEETING OF MEMBERS
SECTION ONE.
ANNUAL MEETING
An annual meeting of members shall be held in Kutztown in the month of December each
year for the purpose of electing officers. The slate of candidates shall be announced
prior to the meeting. Elected officers will take office on January 1.
SECTION TWO. REGULAR MEETINGS
Regular meetings will be held on the third Tuesday of every month, except when
otherwise notified by the Secretary.
SECTION THREE. PLACE OF MEETING
The Board of Directors will designate the place for meetings.
SECTION FOUR. NOTIFICATION OF MEETING
- A Calendar of all regular meetings will be distributed to all members at the beginning
of the Fall season.
- Notification of any special meetings or changes to Regular Meetings will appear in the
Kutztown Patriot one week prior to the meeting or change and/or will be mailed to members.
ARTICLE III. VOTING REQUIREMENTS
SECTION ONE. QUORUM
A quorum will exist when six (6) voting members are present at a meeting. A quorum must
be present to vote on any Club matter, unless specifically stated otherwise in these
by-laws.
SECTION TWO. CASTING OF VOTES
All votes must be cast in person and may not be voted absentee, by proxy or otherwise
assigned.
SECTION THREE.
VOTES REQUIRED
An affirmative vote by the simple majority of voting members is required to pass a
matter, unless specifically stated otherwise in these by-laws.
ARTICLE IV. BOARD OF DIRECTORS
SECTION ONE. GENERAL POWERS
Its Board of Directors shall manage the affairs of the organization.
SECTION TWO.
TERM OF OFFICE
Each officer shall hold office for one year after election, from January 1 to December
31.
SECTION THREE. SUCCESSION OF TERMS
Officers can succeed themselves for only one (1) term of office.
SECTION FOUR. REMOVAL
Any officer may be removed by a two-thirds (2/3) vote of the voting members present at
a special meeting called by the President.
SECTION FIVE. VACANCIES
Any vacancy occurring in the Board of Directors shall be filled by a vote of the voting
members present at the next scheduled Regular Meeting. An officer elected to fill a
vacancy shall be elected for the un-expired term of his/her predecessor in office.
SECTION SIX. COMPENSATION
Officers as such shall not receive any stated salaries for their services, but by
resolution of the Board of Directors, any officer may be indemnified for expenses and
costs, including attorney's fees, actually and necessarily incurred by him/her in
connection with any claim asserted against him, by action in court of otherwise, by reason
of his/her being or having been such officer, except in relation to matters as to which
he/she shall have been guilty of negligence or misconduct in respect of the manner in
which indemnity is sought.
ARTICLE V. DUTIES OF OFFICERS
SECTION ONE.
THE PRESIDENT
The President shall be the principal executive officer of the organization responsible
for the following:
- Direct the ongoing activities of the organization.
- Preside at all meetings.
- Call any special meetings as necessary.
- Affix his/her signature to any legal documents on behalf of the organization.
- Designate all committees as is necessary for the running of the organization.
- Appoint the chairman of each of the committees.
- Promote and represent the Kutztown Soccer Club in the community.
SECTION TWO. VICE-PRESIDENT
The Vice-President shall in the President's absence, assume the duties of the President
and be responsible for the following:
- If the President is unable to complete his/her term of office, serve the remainder of
the unexpired term.
- Attend (or designate another member to attend) required league meetings, if any.
- Promote and represent the Kutztown Soccer Club in the community.
SECTION THREE. SECRETARY
The Secretary shall maintain all historical records of the organization, safeguard
those records and provide the Board of Directors with documentation upon request and be
responsible for the following:
- Prepare minutes for all meetings called by the President.
- Read the minutes at each meeting.
- Correspond with the local schools to obtain field usage during various times of the
year.
- Notify the membership of any change or time or place for Regular Meetings as specified
within these by-laws.
- Notify the membership of any special meeting that may be called by the President as
specified within these by-laws.
- Promote and represent the Kutztown Soccer Club in the community.
SECTION FOUR. TREASURER
The Treasurer shall safeguard the organization's assets by maintaining accurate records
of the source and application of all of the organization's funds and inventory quantities,
and offer documentation upon request and be responsible for the following:
- Maintain complete and correct records of source and application of funds.
- Submit a proposed budget for the present year at the first meeting of the fiscal year.
- Provide the Board of Directors at each Regular Meeting with a statement of source and
application of funds.
- Maintain a Checkbook of all disbursements.
- Authorize the disbursement of all funds except for petty cash.
- Require a written invoice, bill or statement before making any disbursement.
- Promote and represent the Kutztown Soccer Club in the community.
ARTICLE VI. RESPONSIBILITIES OF MEMBERS
SECTION ONE.
COACHES RESPONSIBILITIES
As representatives of the Kutztown Soccer Club, all coaches and assistant coaches shall
conduct themselves in accordance with the rules and regulations that follow.
- Prior to the start of any playing season, coaches shall meet with the parents/guardians
of their respective players and explain the commitment (practice, games, conduct,
fundraising, etc.) that the team and the Kutztown Soccer Club expect of them and their
child, and maintain an open dialogue with players, parents and other coaches.
- Coaches shall not place undue pressure on a player to lessen a commitment to another
activity (i.e. school sports, band, church, etc.). It is the goal of the Kutztown Soccer
Club to peacefully coexist in the Kutztown community with other organizations.
- Coaches shall be responsible for notifying parents/guardians of practice and game
schedules, any changes with these schedules.
- Coaches are directly responsible for the conduct and sportsmanship of his/her players,
assistant coaches and spectators before, during and directly after every game.
- Coaches shall ensure that players, assistant coaches and spectators do not interfere
with the playing of the game.
- Coaches shall ensure that players, assistant coaches and parents/guardians are aware of
any code of conduct, written or implied, set forth by the Kutztown Soccer Club and any
other organization that governs the conduct of the Kutztown Soccer Club.
- The midfield handshake at the end of each game is mandatory for all players and coaches,
and the coaches shall see that it is conducted in an orderly fashion.
- Coaches should make every effort to ensure the safety of his/her players during games. A
coach should forfeit any game, which in his/her opinion does not promote the safety of
his/her players.
- Coaches shall make an effort to play each player in each game. A coach may make a
decision not to allow a player to play or to reduce his/her playing time if:
- The player has excessively missed practice sessions and/or games.
- The player possesses an attitude that in the opinion of the coach is detrimental to the
team and/or individual development.
- The player's physical condition limits his/her ability to play.
- Coaches are responsible for attending (or designating a representative to attend) all
Kutztown Soccer Club meetings, Kutztown Soccer Club coaches meetings and clinics, and
required League meetings, if any.
- Coaches are directly responsible for reasonably safeguarding any Club property issued to
him/her and is responsible for returning such property at the end of the playing season.
- Under no circumstances shall a coach verbally or physically abuse a player, a coach, a
referee or a spectator. Any infraction to this rule, or any other questionable conduct of
a coach should be reported to the Chairperson of the Coaches Committee.
- Questionable conducts of a coach my result in warnings, suspensions or revocation of
coaching privileges, which will be decided by the Board of Directors. The Chairperson of
the Coaches committee will duly notify the coach of the boards decision.
- Coaches shall get approval from the Coaches Committee before playing any games or
scrimmages or attending any tournaments with teams or hosted by organizations who are not
members of the same League as the Kutztown Soccer Club.
- Coaches shall submit any game summary, tournament summary, article, interview or any
other item that is directly related to the Kutztown Soccer Club to the Publicity Committee
before publication of said item in any newspaper, magazine or any form of publication.
- Coaches shall follow all rules and regulations, written or implied, of the Kutztown
Soccer Club and any other organization that governs the Kutztown Soccer Club.
SECTION TWO. PLAYERS RESPONSIBILITIES
As representatives of the Kutztown Soccer Club all players shall conduct themselves in
accordance with the rules and regulations that follow.
- Players shall be committed to the best interests of their team.
- Players shall make every attempt to attend all scheduled practices and games and shall
notify his/her Coach of the inability to attend a game or practice as early as possible.
- Players must wear the proper Kutztown Soccer Club uniform and any other items required
by the Kutztown Soccer Club and/or any organization that governs the Kutztown Soccer Club,
in order to play in any game.
- Players must conduct himself/herself in manner promoting good sportsmanship in both game
and practice situations.
- Under no circumstances shall a player verbally or physically abuse a player, a coach, a
referee or a spectator. Any infraction to this rule, or any other questionable conduct of
a player should be reported to the Chairperson of the Coaches Committee.
- Questionable conduct of a player my result in warnings, suspensions or revocation of
playing privileges which will be decided by the Board Of Directors. His/her Coach will
duly notify the player of the boards decision.
SECTION FOUR.
PARENTS/GUARDIANS
RESPONSIBILITIES
As representatives of the Kutztown Soccer Club all parents/ guardians shall conduct
themselves in accordance with the rules and regulations that follow.
- Parents/guardians shall make every attempt to attend meetings of the Kutztown Soccer
Club.
- Parents/guardians shall make every attempt to support fundraising that benefits youth
soccer and/or the Kutztown Soccer Club.
- Parents/guardians shall provide his or her childs Coach with any requested support
to make each players experience an enjoyable one.
- Parents/guardians shall make every attempt to have their child attend all scheduled
practices and games and shall notify his/her Coach of the inability to attend a game or
practice as early as possible.
- Parents/ guardians shall ensure that their child arrives at scheduled practices and
games on time and is promptly picked up at the end of scheduled practices and games.
- Parents/guardians must conduct himself/herself in manner promoting good sportsmanship in
both game and practice situations.
- Under no circumstances shall parent/guardian verbally or physically abuses a player, a
coach, a referee or a spectator. Any infraction to this rule or any other questionable
conduct of a parent/guardian should be reported to the Chairperson of the Coaches
Committee.
- Questionable conduct of a parent/guardian may result in warnings or revocation of
membership. The President will duly notify the parent/ guardian of the boards
decision.
ARTICLE VII. COMMITTEES
SECTION ONE.
SPECIFIC COMMITTEES
The following committees shall be designated at the first Regular meeting of each
fiscal year.
- Equipment Committee
- Conduct all purchasing of equipment that uses the Kutztown Soccer Club funds with the
approval of the Board of Directors.
- Issue all equipment to coaches and maintain records of equipment issued.
- Conduct a complete and accurate physical inventory of all equipment annually by the last
day of the fiscal year.
- Uniform Committee
- Conduct all purchasing of uniforms that uses Kutztown Soccer Club funds with the
approval of the Board of Directors.
- Determine uniform needs based on the information supplied on the registration form.
- Order uniforms by such date that uniforms can be issued by July 31.
- Registration Committee
- The chairperson of the Registration Committee shall be officially designated as the
Registrar of the Kutztown Soccer Club.
- Follow all registration rules and regulations of the Kutztown Soccer Club
- Attend any and all registration meetings required by the Kutztown Soccer Club.
- File all registration information required by the Kutztown Soccer Club.
- Provide a list of registered youths to the Chairperson of the Coaches committee.
- Coaches Committee
- Secure a list of all registered youths and registered coaches from the Chairperson of
the Registration Committee.
- Notify all coaches of all special coaches' meetings held by the Kutztown Soccer Club,
and preside at these meetings.
- Notify all coaches of any required league coaches' meetings.
- Ensure that all coaches are aware of and understand their responsibilities as coaches of
the Kutztown Soccer Club including any written or implied rules and regulations, code of
conduct or guidelines adopted by the Kutztown Soccer Club or any other organization that
governs the Kutztown Soccer Club.
- Report all instances of coach, player, parental or other misconduct, as reported to
them, to the Board of Directors.
- Audit Committee The chairperson or any member of this committee shall not include
the President or Treasurer.
- Conduct an annual audit of the books and records of the Kutztown Soccer Club by the end
of the Fiscal year.
- Report results of it's audit at the next Regular Meeting
- Publicity Committee
- Review and approve any game summary, tournament summary, article, interview or any other
item that is directly related to the Kutztown Soccer Club before publication of said item
in any newspaper, magazine or any form of publication.
- Prepare all weekly game summaries, as reported by the Coaches (or representative) for
publication in the Patriot, during regular season play.
- Actively seek opportunities to promote the Kutztown Soccer Club.
SECTION TWO.
OTHER COMMITTEES
Any other committee may be designated by a resolution adopted by an affirmative vote of
the voting members at any Regular meeting.
SECTION THREE. CHAIRPERSON
The President shall appoint the chairperson(s) of any and all committees. The appointed
chairperson may be a member of the Board of Directors, a coach or any supporting member of
the Kutztown Soccer Club.
SECTION FOUR. COMMITTEE MEMBERS
Each committee must have at least one member, the Chairperson. Any other members deemed
necessary shall be appointed by the President . Each committee member may be a member of
the Board of Directors, a coach or any supporting member of the Kutztown Soccer Club.
SECTION FIVE. COMMITTEE RESPONSIBILITY
The designation of any committee and the delegation thereof of authority shall not
operate to relieve the Board of Directors, or any individual officer, of any
responsibility imposed on it or him/her by law.
SECTION SIX. TERM
Each member of a committee shall continue as such for a one year term, beginning the
date the member was appointed to the committee, unless the committee shall be sooner
terminated, or unless such member be removed from such committee, or unless such member
shall cease to qualify as a member thereof.
SECTION SEVEN. SUCCESSION OF TERMS
Any member of any committee can serve successive terms, if so appointed to the
committee by the President.
SECTION EIGHT. REMOVAL
Any member of any committee may be removed by a three-fourths (3/4) vote of the Board
of Directors.
SECTION NINE. VACANCIES
Vacancies in the membership of any committee my be filled by appointment of the
President.
ARTICLE VIII. FIDUCIARY RESPONSIBILITY
SECTION ONE.
CHECKS, DRAFTS OR ORDERS FOR
PAYMENT
Such officer (or officers as determined by the Board of Directors) shall sign all
checks, drafts, and orders of payment of money, notes or other evidence of indebtedness
issued in the name of the Kutztown Soccer Club. In the absence of such determination, the
Treasurer shall sign such instruments.
SECTION TWO.
DEPOSITS
The Treasurer shall deposit all funds of the Kutztown Soccer Club in such bank, trust
companies, or other depositories as the Board of Directors may select.
SECTION THREE. GIFTS
The Board of Directors my accept on behalf to the Kutztown Soccer Club any
contributions, gifts, bequests or device for the general purposes, or for any special
purpose, of the Kutztown Soccer Club.
SECTION FOUR. APPROPRIATION OF FUNDS AND ASSETS
The Board of Directors may appropriate funds and/or assets for the general purposes, or
for any special purpose of the Kutztown Soccer Club.
SECTION FIVE. BOOKS AND RECORDS
- The organization shall keep correct and complete books and records of account.
- The organization shall keep minutes of the proceedings of all of its meetings.
- All books and records may be inspected by any member, or his agent or attorney; for any
proper purpose at any reasonable time.
ARTICLE IX. MISCELLANEOUS
SECTION ONE.
FISCAL YEAR
The fiscal year of this organization shall start on the first day of May and end on the
last day of April of each year.
SECTION TWO. AMENDMENT TO THE BY-LAWS
These by-laws may be amended by affirmative vote of two-thirds (2/3) of the voting
members at any Regular Meeting.
SECTION THREE. FEES AND DUES
- Registration Fees will be determined annually at the first Regular Meeting of each
calendar year.
- Membership Dues will be determined annually at the first Regular Meeting of each
calendar year.
SECTION FOUR. AFFILIATION WITH A LEAGUE
Affiliation with any soccer league will be determined annually by the Board of
Directors by an affirmative vote of three-fourths (3/4) of this Board at the first Regular
meeting of the fiscal year.
- If such an affiliation is affirmed then this organization will adopt, as its own, any
rules, regulations, code of conduct and other requirements of this league and of any
organization that governs this League.
- If there is a discrepancy or conflict between the rules, regulations, code of conduct or
any other requirements of the Kutztown Soccer Club and this League then the rules,
regulations, code of conduct, and other requirements of this League will take precedence.

Our mission is to provide a positive, developmental and competitive soccer
program for all players within, but not limited to, the Kutztown School
District.
Our charter is to administer programs of education and instruction
emphasizing the development of fundamental and advanced soccer skills and knowledge of the
soccer laws while promoting an appreciation for the game in accordance with the
high standards of good sporting conduct and fair play.
We strive to continuously improve the caliber of our training, coaching,
equipment, and playing fields by fostering community pride and strong relationships with the
Kutztown School District, Kutztown University, local government, organizations
and businesses.
